ELECTRONIC VOTING NOTICE (N.C.G.S. 55A-7-08)

Good evening, Coastal Cowboys.

This Notice of Electronic Vote for our 2024 Board of Directors is being sent contemporaneously with your electronic ballot, which will be delivered to your email address of record with the Coastal Cowboys on or about 11:30 PM on November 20, 2023.

Electronic Voting will take place from 11:30 PM on November 20, 2023 through 11:59 PM on November 30, 2023. All ballots must be cast by 11:59 PM on November 30, 2023 to be counted in the election. Only eligible voting members in good standing with the Organization may vote in the election. A list of members who are eligible to vote is included with this TeamApp post.

A Candidate Summary with biographical information will be shared via separate TeamApp post. This will include the candidates whose nominations were received in time for inclusion on the electronic ballot. Note however that you are permitted to vote for write-in candidates, and the electronic ballot will include this option. All candidates who are included on the Candidate Summary have been verified as eligible voting members. Similarly, any write-in candidates must be eligible members in good standing in order to be considered for Board participation.

EMAIL ADDRESS FOR VOTING – Your electronic ballot will be sent to your email address of record with Coastal Cowboys, which is the email address that you used to register your participant(s) this season. You may update your email address of record by sending your request via email to our Treasurer, Kristy High at kristyhigh82@gmail.com. If you have more than one (1) registered participant, then you will receive a separate email containing your ballot for each registered participant. If you are a volunteer member without a registered participant, you are eligible for one (1) vote. Regular members who also serve as volunteers (i.e. rostered coaches, Board members, etc) do not receive additional votes based on their volunteer status – in other words, members with registered participants who also volunteer will only get one (1) vote per registered participant.

PROXIES – You may appoint a proxy to vote on your behalf in the election. Pursuant to Section 55A-7-24 of the Nonprofit Corporation Act, notification of your proxy must be submitted to Kristy High at kristyhigh82@gmail.com and must include the your electronic signature or must be sent from your current email address of record with Coastal Cowboys. Your proxy must be a member in good standing with the Organization, and you must include your proxy’s name and e-mail address on the notification. Proxy notifications must be received no later than 5:00 PM on Monday, November 27th, which is (3) days prior to the close of electronic voting. Upon receipt of your proxy submission, we will contact you via email with confirmation of receipt of your proxy and to provide instructions for proxy voting. Unless otherwise stated in the email notifying the Board of appointment of your proxy, the appointment will be effective for 11 months, or until withdrawn.

MEMBERSHIP LIST – A list of our Members in good standing and eligible to vote is attached. PLEASE BE ADVISED THAT YOU ARE NOT PERMITTED TO DISSEMINATE THIS MEMBERSHIP LIST OUTSIDE OF COASTAL COWBOYS, NOR ARE YOU PERMITTED TO USE THE MEMBERSHIP LIST FOR ANY PURPOSE OUTSIDE OF THIS ELECTION. The full membership list with member mailing addresses may be inspected upon request; we strive to protect member information, so we do not publish member mailing addresses to our general membership.

Electronic voting will be open from 11:30 PM this evening through 11:59 PM on November 30th. Thereafter, candidates who have been duly elected to the 2024 Board of Directors will be notified of their election, and the new Board of Directors will meet to elect our 2024 officers. The 2024 Board of Directors and Officers will be announced to the membership via TeamApp no later than the end of the year. We will have an informational meeting during the second week of January, with the specific time, date and location to be announced before the end of the year; there will be an option to attend the meeting via Zoom.
